A fund wrapper
with no discretion

CONSORT Fund is the vehicle that holds the capital and keeps the account of it. It records who owns what, values those holdings at fixed intervals, and reports that value to the investors in each sub-fund.

Beneath it, each sub-fund stands on its own: its own assets, its own obligations, its own investors, its own value, held apart from every other sub-fund in the structure.

Investment decisions sit with CONSORT Investments, and capital subscribed to a sub-fund is put to work only within the purpose that sub-fund was established to serve. The arrangement is set out in each sub-fund's offering document before anyone subscribes.

Umbrella VCC

A Variable Capital Company permits multiple sub-funds beneath a single legal parent. Each sub-fund is its own segregated pool, with its own assets, liabilities, share-class architecture, NAV and investor register. It is ring-fenced from its siblings within the shared structure.

Separate products

Each sub-fund is its own product, with its own mechanics, its own terms and its own return profile. A small number of them exist at any time, and each is established for a purpose that warrants a vehicle of its own.

Separation of roles

CONSORT Fund holds the capital. CONSORT Investments makes the investment decisions and manages the strategies. The two roles sit in different entities, and each sub-fund's offering document sets out which does what.

Segregation, supervision
and reporting

The fund is being formed under the supervision of the Mauritius Financial Services Commission.

Segregation between sub-funds is a property of the VCC form itself, established at the point the structure is registered.

Segregated sub-funds

Each sub-fund's assets and liabilities stand apart from every other's, established as separate pools when the structure is registered. An investor's interest lies in their own sub-fund alone — its holdings, its performance, its outcome, settled on its own terms.

Regulator

Regulatory supervision

The Mauritius Financial Services Commission supervises the fund and each of its sub-funds. Formation, authorisation, continuing reporting and any change to the structure all sit within that framework, under a single set of rules that applies throughout the fund's life.

Reporting

Net asset value

NAV will be struck quarterly for each sub-fund and reported to the holders of that sub-fund's share classes. Valuation method, cadence, and the form and timing of reporting are fixed in the offering document before any subscription is accepted.

Legal form

Custody and administration

Sub-fund assets are held in the name of the relevant sub-fund with an independent custodian. Fund administration, registry and valuation are performed by an independent administrator. Both are appointed at formation and named.

Authority

Investment authority

Investment decisions sit with CONSORT Investments, exercised within the purpose each sub-fund was established to serve. The fund earns no performance-linked economics from any sub-fund, and its own costs are set out in full in each sub-fund's offering document.

Investor clarity

Defined share classes

Every sub-fund operates defined share classes with stated economics and explicit terms. What a holding represents, how it ranks against other classes, and how returns are allocated between them is set out in the offering document before subscription.

Where the limits sit

A wrapper is defined by the extent of what it holds. These limits sit in the fund's constitution and in each sub-fund's offering document, established when the structure is registered rather than adopted as a way of working. They hold for the life of the fund.

Deployment

Capital subscribed to a sub-fund is put to work by CONSORT Investments, within the purpose that sub-fund was established to serve. Each sub-fund's capital stays with that sub-fund, and the mandate it operates under is fixed when the sub-fund is formed.

The fund produces NAV, compliance reporting and administrator output. Strategy sits with CONSORT Investments and distribution sits with CONSORT Consulting, each within its own entity. The fund's economics are fixed and carry no performance-linked element.

Containment

Each sub-fund meets its own obligations from its own assets. A loss, a suspension or a wind-up stays within the sub-fund it arises in, and each can be settled or liquidated on its own terms while the others continue.
